Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by AgentVitals ("we," "us," or "our") at agentvitals.ai and app.agentvitals.ai (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

1. Description of Services

AgentVitals provides an Agent Experience Optimization platform that: scans websites for AI-agent readiness; diagnoses where automated agents fail within conversion flows; generates and delivers code fixes as GitHub pull requests; and enforces agent-readiness standards via a CI gate integrated with your GitHub repositories. The Service includes a free public scanner, paid subscription plans, and a REST API.

2. Account Registration

To access paid features, you must provide a valid email address and, for billing, payment information. You are responsible for maintaining the confidentiality of your API keys and account credentials. You must promptly notify us at support@agentvitals.ai of any unauthorized use of your account. We reserve the right to suspend or terminate accounts we believe are being used fraudulently or in violation of these Terms.

3. Trial Accounts

We may offer trial access to paid features at no charge for a limited period. At the end of the trial, you must subscribe to continue accessing those features. We reserve the right to modify or discontinue trial offerings at any time without notice.

4. Subscriptions, Billing, and Payment

Paid plans are billed on a monthly or annual basis through Stripe, our payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis. Prices may change with 30 days' written notice. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. You may cancel your subscription at any time through the billing portal; cancellation takes effect at the end of the current billing period. If payment fails, we may suspend or terminate your access after reasonable notice.

5. Acceptable Use

You may not use the Service to: (a) scan URLs you do not own or have explicit authorization to scan; (b) submit malicious content or attempt to exploit vulnerabilities in our platform; (c) circumvent rate limits, usage quotas, or access controls; (d) use the Service for any unlawful purpose or in violation of any applicable law or regulation; or (e) resell, sublicense, or otherwise transfer access to the Service without our prior written consent. We reserve the right to suspend access to accounts that violate this policy.

6. Intellectual Property

We retain all right, title, and interest in and to the Service, including all software, algorithms, and documentation. You retain all right, title, and interest in and to the websites you submit for scanning. Code fixes we generate from your content are delivered to you under the MIT License — you may use, modify, and ship them freely. Nothing in these Terms transfers any intellectual property rights beyond what is expressly stated.

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the disclosure and circumstances. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was independently developed without use of the disclosing party's confidential information, or is required to be disclosed by law or court order.

8. Privacy and Data Processing

Our collection and use of personal data is governed by our Privacy Policy. If you process personal data of EU/UK individuals using the Service, our Data Processing Agreement (DPA) applies and is incorporated into these Terms by reference.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. SCAN RESULTS AND CODE FIXES ARE PROVIDED FOR INFORMATIONAL PURPOSES; YOU ARE RESPONSIBLE FOR REVIEWING AND TESTING ANY CODE BEFORE DEPLOYING IT TO PRODUCTION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENTVITALS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless AgentVitals and its officers, directors, employees, and contractors from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law; or (c) content you submit to the Service.

12. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access immediately if you violate these Terms. You may stop using the Service at any time. Upon termination, your right to access the Service ceases. Sections 6, 7, 9, 10, 11, and 14 survive termination.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms shall first be submitted to good-faith informal negotiation for 30 days. If unresolved, disputes shall be resolved by binding arbitration under the JAMS Streamlined Arbitration Rules, conducted in English. Class actions and class-wide arbitrations are waived. Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

16. General

These Terms, together with our Privacy Policy and DPA (where applicable), constitute the entire agreement between you and AgentVitals regarding the Service. If any provision is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
